Terms of Service

The plain-language rules for using ShapeClip and the Pro subscription.

1. Who we are

ShapeClip ("ShapeClip", "the service", "the extension") is a product of Imercor Products LLC ("we", "us", "our"), a limited liability company based in the United States. You can reach us at imercorproducts@gmail.com.

2. Agreement to these terms

By installing or using ShapeClip, you agree to these Terms of Service and to our Privacy Policy. If you do not agree, please do not install or use the extension.

If you are using ShapeClip on behalf of an organization, you confirm that you have the authority to bind that organization to these terms.

3. What ShapeClip does

ShapeClip is a Chrome extension that lets you capture a screenshot of the current webpage, clip it into a shape or word mask, style it, and export the result as a PNG. All screenshot processing happens locally in your browser. We do not upload, store, or transmit the images you capture.

4. Your license to use ShapeClip

We grant you a personal, non-exclusive, non-transferable, revocable license to install and use ShapeClip, subject to these terms. This license covers use of both the free and Pro tiers.

You may not:

• Reverse engineer, decompile, or attempt to extract the source code of the extension, except where allowed by law.
• Redistribute, resell, or sublicense the extension or any part of it.
• Use the extension to violate the law, infringe someone else's rights, or interact with content you do not have the right to capture.
• Circumvent, disable, or interfere with license checks, watermarks, or other features intended to enforce the Free/Pro distinction.

5. Free and Pro tiers

ShapeClip offers a free tier and a paid Pro tier.

The free tier is available without a signup and includes standard capture, built-in shapes, word masks, and standard-resolution export with a small ShapeClip watermark.

Pro unlocks higher export resolution, longer word masks, additional fonts, rotation, clipboard copy, saved shape slots, and removes the watermark. We may add or adjust Pro features over time; the current Pro feature list is shown at shapeclip.com.

6. Pricing, billing, and subscriptions

ShapeClip Pro is billed once per year at the price listed on shapeclip.com at the time you purchase. There is no monthly plan. Any "equivalent monthly" figure shown on the site is for comparison only.

Payments are processed by Stripe. Your charge may appear as IMERCOR PRODUCTS on your statement.

Unless otherwise noted at purchase, Pro subscriptions renew automatically once per year at the then-current price. You can cancel auto-renewal at any time by emailing us at imercorproducts@gmail.com. Cancellation takes effect at the end of the current billing period — you keep Pro access until that period ends.

Introductory or early-access pricing, when offered, applies only for the billing period noted at purchase. Renewals after that period may be at standard pricing.

7. Refunds

If ShapeClip Pro is not working as described, or you are not satisfied with your purchase, email us at imercorproducts@gmail.com within 14 days of purchase and we will refund your payment. After 14 days, refunds are handled at our discretion on a case-by-case basis.

8. Acceptable use

You agree to use ShapeClip only for lawful purposes. You will not use it to:

• Capture or process content you do not have the right to view or reproduce.
• Infringe any copyright, trademark, trade secret, privacy right, or other right of a third party.
• Create content that is unlawful, defamatory, harassing, or that constitutes hate speech or incitement to violence.
• Capture content involving the sexual exploitation of minors, under any circumstances.
• Interfere with the operation of the extension, our servers, or the Chrome Web Store.

We reserve the right to terminate access for any account that violates these rules.

9. Your content

ShapeClip does not upload or store the screenshots you capture. Any image you capture, clip, or export using ShapeClip is yours. We make no claim over the output.

You are solely responsible for the images you capture and how you use them.

10. Intellectual property

ShapeClip, including its code, design, shape library curation, logos, and name, is owned by Imercor Products LLC and is protected by copyright and other intellectual property laws. These terms do not grant you any rights to our trademarks or branding.

The shape library accessible through ShapeClip includes icons and shapes licensed from third-party providers. You may use the exported output in your own work, including commercial work, as permitted by those providers' licenses. If you have questions about a specific shape, contact us.

11. Third-party services

ShapeClip relies on a small number of third-party services to operate:

• Stripe for payment processing.
• Supabase for Pro license record storage.
• The Chrome Web Store for extension distribution.

Your use of those services is subject to their own terms and privacy policies. We are not responsible for their availability or conduct.

12. Disclaimer of warranties

ShapeClip is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not guarantee that the extension will be uninterrupted, error-free, or compatible with every website, browser version, or operating system.

13. Limitation of liability

To the maximum extent permitted by law, Imercor Products LLC, its owners, members, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of ShapeClip.

Our total liability to you for any claim arising out of or related to these terms or ShapeClip will not exceed the greater of (a) the amount you paid us for Pro in the 12 months before the claim, or (b) USD $50.

14. Indemnity

You agree to indemnify and hold harmless Imercor Products LLC from any claim, loss, or demand, including reasonable attorneys' fees, arising out of your use of ShapeClip, your violation of these terms, or your violation of any third-party right.

15. Termination

You may stop using ShapeClip at any time by uninstalling the extension from Chrome.

We may suspend or terminate your access to ShapeClip, including Pro access, at any time for any reason, including a violation of these terms. If we terminate a Pro subscription for a reason unrelated to your misconduct, we will refund the unused portion of your current billing period.

16. Changes to these terms

We may update these Terms of Service from time to time. If we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you in the extension's release notes. Continued use of ShapeClip after changes take effect constitutes acceptance of the updated terms.

17. Governing law

These terms are governed by the laws of the State of Iowa, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these terms will be resolved in the state or federal courts located in Iowa, and you consent to personal jurisdiction in those courts.

Nothing in these terms limits any statutory rights you may have under your local consumer-protection laws that cannot be waived by contract.

18. Entire agreement

These Terms of Service, together with the Privacy Policy, constitute the entire agreement between you and Imercor Products LLC regarding ShapeClip, and supersede any prior agreements.
